INTRODUCTION

These are the terms and conditions as may be amended from time to time (the “Terms and Conditions”) governing Your attendance and participation in a Virtual Event. By registering for and/or attending a Virtual Event, You agree to these Terms and Conditions.

The terms used in these Terms and Conditions have the following meanings:
“We, Us, Our” - Volvo CE.
“You, Your and Yourself” - the Participant.
“Virtual Event” - any virtual and/or digital event on the Virtual Event Platform including but not limited to any seminar, conference, summit, experience, workshop, exhibition, webinar, class, session or show.
“Virtual Event Account” - an account created by an Individual with Us in order to register for a Virtual Event.
“Virtual Event Account Details” - the personal data provided by an Individual when creating a Virtual Event Account, as may be changed by the Individual from time to time, including but not limited the Individual’s: first name, last name, email address, country and affiliated company. The Virtual Event Account Details may also include the username, password and the Virtual Event Display Name an Individual selects when creating a Virtual Event Account.
“Virtual Event Content” - all materials including but not limited to photographs, images, videos, graphics, written content, audio files, code, information, reports, data, or other content posted, uploaded, collected, generated, stored, displayed, distributed, transmitted or exhibited during a Virtual Event and/or in connection with a Virtual Event. The Virtual Event Content shall include the Participant-Generated Content.
“Virtual Event Display Name” - the name an Individual selects when creating a Virtual Event Account to represent such Individual in connection with a Virtual Event.
“Virtual Event Interactive Area” - an area at a Virtual Event that enables Participants to interact with each other and/or Us and/or the Organizer via a chat, direct messaging or Our social media wall.
“Virtual Event Marks” - the Volvo Parties’ trade names, trademarks, service marks, trade dress, emblems or logos used to promote the Virtual Event.
“Virtual Event Platform” - Volvo CE-owned website used for the purpose of hosting Virtual Events.
“Individual” - a natural person of at least eighteen (18) years or older as of the date of creation of such person’s Virtual Event Account.
“Organizer” - the entity hosting the Virtual Event if other than Volvo CE.
“Parent or AB Volvo” - AB Volvo, Our parent company, whose headquarters is located at SE-405 08 Gothenburg, Sweden.
“Participant” - an Individual who attends a Virtual Event in any capacity including but not limited to a member of the general public, speaker, moderator or an employee, officer, agent or representative of any of the Volvo Parties or the Organizer.
“Participant Avatar” - the image, icon, figure, character, photograph or symbol an Individual selects to represent such Individual in connection with a Virtual Event.
“Participant Details” - the Virtual Event Account Details and any other personal data provided by an Individual to Us in connection with a Virtual Event. The Participant Details may include the Participant Avatar.
“Participant-Generated Content” - text, picture, video or anything else posted by a Participant in a Virtual Event Interactive Area or on a social media platform using a hashtag designated for a Virtual Event and the following associated with any such posting: the Participant Display Name, Participant Avatar, username and profile image for any social media account utilized by the Participant in a Virtual Event Interactive Area, real name, likeness, voice and any other identifying information.
“Volvo CE” - Volvo Construction Equipment, whose headquarters is located at CE13000, Volvo CE Head Office, 405 08 Gothenburg, Sweden and its subsidiaries.
“Volvo Parties” - Volvo CE, its Parent, subsidiaries of its Parent, affiliates, successors and assigns and designees.

REGISTRATION

2.1. Registration for a Virtual Event requires You to have a Virtual Event Account. By registering for a Virtual Event, You represent that You created Your Virtual Event Account and that Your Virtual Event Account Details are true and accurate as of the date of such Virtual Event. It is solely Your responsibility to inform Us of any changes to Your Virtual Event Account Details (including Your email address) prior to the date of a Virtual Event by contacting Us using the contact information in the registration confirmation and/or Section 11 of these Terms and Conditions.

2.2. After You create a Virtual Event Account, You may register for a Virtual Event by: (a) clicking on the link We send to You immediately after You create Your Virtual Event Account to confirm Your email address and selecting a Virtual Event from a menu of available Virtual Events; (b) clicking on a registration link for a Virtual Event in an email We send to You at the email address associated with Your Virtual Event Account; or (c) logging in to Your Virtual Event Account and selecting a Virtual Event from a menu of available Virtual Events.

2.3. Once Your registration for a Virtual Event is completed, We will electronically send You a registration confirmation at the email address associated with Your Virtual Event Account.

2.4. We will also electronically send You reminders and other information regarding the selected Virtual Event at the email address associated with Your Virtual Event Account. You may opt-out of these emails by logging in to Your Virtual Event Account and deselecting the option to receive such emails.

2.5. You will also be added to a list of Participants for notification of future Virtual Events that will be sent electronically at the email address associated with Your Virtual Event Account. You may opt-out of these emails by logging in to Your Virtual Event Account and deselecting the option to receive such emails.

PARTICIPANT REQUIREMENTS

3.1. Access to a Virtual Event as a Participant is conditioned upon Your completed registration and is subject to these Terms and Conditions.

3.2. By registering for and/or attending a Virtual Event, You represent and warrant that: (a) You will not use the Virtual Event Platform, a Virtual Event (including any Virtual Event Interactive Area) and the Virtual Event Content for any unlawful purpose; (b) You will not impersonate any person, company or group or misrepresent Your relationship with the foregoing; (c) You are responsible for the Participant-Generated Content that You contribute to any Virtual Event Interactive Area; (d) other than Your personal data, You will not collect, store or disclose any personal data in relation to Your access to the Virtual Event Platform and a Virtual Event (including any Virtual Event Interactive Areas) and/or use of the Virtual Event Content without the express written consent of Us and the natural person or entity that owns such personal data; (e) neither the Participant-Generated Content You contribute to the Virtual Event Interactive Area nor Our use of the Participant-Generated Content You contribute to a Virtual Event Interactive Area will infringe upon or violate the rights of any other natural person or entity, including, without limitation, privacy, publicity, or intellectual property rights; (f) the Participant-Generated Content You contribute to a Virtual Event Interactive Area does not contain any content that is inappropriate, misleading, fraudulent, indecent, obscene, hateful, tortious, defamatory, slanderous, or libelous or otherwise depicts inappropriate, unsafe, or destructive behavior; (g) the Participant-Generated Content You contribute to the Virtual Event Interactive Area does not depict images of a natural person under the age of 18; and (h) the Participant-Generated Content You contribute to a Virtual Event Interactive Area does not constitute or contain a virus, malware, malicious software or other harmful component.

3.3. You agree to defend, indemnify and hold the Volvo Parties harmless from and against any and all claims, actions, or proceedings of any kind and from any and all damages, liabilities, costs and expenses, including reasonable attorneys’ fees and costs, relating to or arising out of any breach or alleged breach of any of Your representations and warranties in Section 3.2 of these Terms and Conditions.

3.4. By attending a Virtual Event, You grant Us permission to record, film, live stream, photograph, or otherwise capture Your likeness and the Participant-Generated Content contributed by You in a Virtual Event Interactive Area and an unrestricted, irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to distribute, reproduce, publish, edit, translate, exhibit, digitize, display and otherwise use Your likeness and the Participant-Generated Content contributed by You in a Virtual Event Interactive Area for any purpose related to Our business, whether in a video, live stream, photograph, interview or any other media or format now known or later developed. You understand and agree that: (a) You have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based upon invasion of privacy, defamation, right of publicity, or copyright infringement) arising out of Our use of Your likeness and/or the Participant-Generated Content You contribute to a Virtual Event Interactive Area; (b) We have no obligation to use Your likeness or any or all of the Participant-Generated Content You contribute to a Virtual Event Interactive Area; (c) We may in Our sole discretion, without notice to You or any third party, delete, move or edit Your likeness or any or all of the Participant-Generated Content You contribute to a Virtual Event Interactive Area for any reason; and (d) We will not use any Participant-Generated Content We find in Our sole discretion to be inappropriate, misleading, fraudulent, indecent, obscene, hateful, tortious, defamatory, slanderous, libelous, otherwise depict inappropriate, unsafe or destructive behavior or that We believe in Our sole discretion may infringe or violate another individual or entity’s rights, including, without limitation, privacy, publicity, or intellectual property rights or that We believe in Our sole discretion may damage Our image, reputation or good will.

3.5. To the extent permitted by applicable law, You irrevocably waive any and all moral rights or rights of similar nature in any jurisdiction in any Participant-Generated Content You contribute to a Virtual Event Interactive Area.

3.6. You acknowledge and agree that We may in Our sole discretion cancel or postpone any Virtual Event. We shall use Our best efforts to notify all Participants of the cancellation or postponement as soon as reasonably practicable.

3.7. You acknowledge and agree that we may in Our sole discretion change any or all aspects of any Virtual Event including but not limited to the Virtual Event Content, format, program, Organizer, speakers, moderators and/or time of the Virtual Event. We shall use Our best efforts to notify all Participants of any such change as soon as reasonably practicable.

3.8. By registering for and/or attending a Virtual Event, You agree that We may contact You electronically at the email address associated with Your Virtual Event Account regarding any security, privacy or other issues related to such Virtual Event. You may opt-out of these emails by contacting Us using the contact information in the registration confirmation and/or Section 11 of these Terms and Conditions.

PROHIBITED CONDUCT

4.1. You acknowledge and agree that We reserve the right to refuse access to or remove You from a Virtual Event if We in Our sole discretion determine that any one or more of the following has occurred: (a) You failed to comply with any of the Terms and Conditions; (b) Your attendance and/or participation in a Virtual Event is disruptive to the Virtual Event; (c) Your attendance and/or participation in a Virtual Event hinders the enjoyment of such Virtual Event by any other Participant; (d) You threatened the safety of another Participant; (e) Your registration for a Virtual Event or attendance and/or participation at such Virtual Event is in violation of applicable laws or regulations of Your home county or could cause You to fail to comply with such laws or regulations; and/or (f) Your registration for a Virtual Event or attendance and/or participation at such Virtual Event could cause Volvo CE, Our employees, officers, agents and/or representatives, the Organizer and/or its employees, officers, agents and/or representatives to fail to comply with applicable laws and regulations.

4.2. You may not record, film, live stream, photograph or otherwise transmit a Virtual Event, the Virtual Event Content or any portion thereof.

FEES

Admission to the Virtual Event is free of charge, unless otherwise stated.

INTELLECTUAL PROPERTY RIGHTS

6.1. All intellectual property rights in and to the Virtual Event Marks are owned by AB Volvo.

6.2. All intellectual property rights in and to the Virtual Event Platform, Virtual Events and the Virtual Event Content, except for the Virtual Event Marks, are exclusively owned by Us.

6.3. You may use the Virtual Event Platform, Virtual Events and the Virtual Event Content solely for Your own personal use and benefit but not for resale, distribution or any other commercial purposes.

6.4. Except as set forth in Section 6.3 of these Terms and Conditions, You may not use, reproduce, republish or reprint the Virtual Event Platform, any Virtual Event, the Virtual Event Content and/or Virtual Event Marks without Our prior written permission. Any request for permission to use, reproduce, republish or reprint the Virtual Event Platform, any Virtual Event, the Virtual Event Content or Virtual Event Marks must be sent by email to Us using the contact information in the registration confirmation and/or Section 11 of these Terms and Conditions and You may proceed only upon and in accordance with Our express written consent.

TECHNICAL REQUIREMENTS FOR THE VIRTUAL EVENT

7.1. To access a Virtual Event, a Participant must have a device with access to the internet with a web browser. We recommend the most recent versions of the following browsers: Google Chrome, Microsoft Edge and Safari.

7.2. You are responsible for obtaining the equipment and services necessary to access and/or use the Virtual Event Platform, a Virtual Event or the Virtual Event Content including payment of any and all charges for such equipment and services. The Volvo Parties are not responsible for obtaining or paying for any such equipment or services.

7.3. You are responsible for the reliability, availability and performance of the telephone lines, internet lines, equipment and/or services that You use to access and/or use the Virtual Event Platform, a Virtual Event or the Virtual Event Content.

7.4. We make no assurances regarding the accuracy, reliability, availability or performance of the Virtual Event Platform, a Virtual Event, the Virtual Event Content or any portion thereof, and hereby expressly disclaim any and all warranties related thereto as more specifically set forth in Section 9 below.

PRIVACY POLICY

8.1. The [Privacy Policy] describes how We collect and process Your personal data and applies to Your personal data that is initiated when You create Your Virtual Event Account and access and/or use the Virtual Event Platform including any Virtual Event.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

9.1. The Volvo Parties make no representations or warranties in respect to the Virtual Event Platform, a Virtual Event, the Virtual Event Content or any portion thereof. The Volvo Parties disclaim to the fullest extent permitted by applicable law any and all express, implied, statutory and other warranties, guaranties or representations, including but not limited to the warranties of merchantability, fitness for a particular purpose and non-infringement.

9.2. You acknowledge that the Virtual Event Content is provided “as is.” Your views and opinions and those of other Participants (including but not limited to the speakers and moderators) at a Virtual Event are theirs alone and do not necessarily reflect the Volvo Parties’ views or opinions.

9.3. You agree that Your access and/or use of the Virtual Event Platform, the Virtual Event and the Virtual Event Content is at Your sole risk, discretion and responsibility.

9.4. To the fullest extent permitted by applicable law, under no legal theory (whether based in contract, tort, equity, negligence or any other theory of liability) shall any of the Volvo Parties, their employees, officers, agents or representatives be liable to You, any other Participant or third party for any direct, indirect, special, incidental, exemplary or consequential costs, damages or losses directly or indirectly related to, arising from, caused by or resulting from: (a) Your access to and/or use of the Virtual Event Platform, any Virtual Event or Virtual Event Content; (b) Your inability to access and/or use the Virtual Event Platform, any Virtual Event or Virtual Event Content; (c) any delay, disruption or disturbance of Your ability to access and/or use the Virtual Event Platform, any Virtual Event or the Virtual Event Content resulting from any computer system, telephone line, internet line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature, or for the incorrect or inaccurate capture of information, or the failure to capture any information; (d) Your creation and/or use of Your Virtual Event Account; (e) Your registration for any Virtual Event; (f) any security breach, security intrusion, virus, malware, malicious software or other harmful component; (g) any cancellation or postponement of any Virtual Event; (h) any change to any or all aspects of a Virtual Event; (i) any Participant-Generated Content including Participant-Generated Content contributed by You; (x) the accuracy, reliability, availability or performance of the Virtual Event Platform, any Virtual Event, the Virtual Event Content or any portion thereof; and/or (xi) Your failure to comply with any of the Terms and Conditions.

AMENDMENT

We may make amendments to these Terms and Conditions at any time. Any such amendments shall be posted on the Virtual Event Platform. Amendments will be effective immediately and You will be deemed to have accepted them if You attend the Virtual Event. If you do not wish to accept the amended Terms and Conditions, you must cancel Your registration by contacting Us using the contact information in the registration confirmation and/or Section 11 of these Terms and Conditions.

Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN.  A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

Agreement to Official Rules.  Participation in Volvo Financial Service’s “Free Lunch” sweepstakes (the “Sweepstakes”) constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor (as defined below), which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.  The Sweepstakes is sponsored by Volvo Financial Services, a division of VFS US LLC, 8003 Piedmont Triad Parkway, Greensboro, NC, 27409 (“Sponsor”).
Odds.  The odds of winning a prize depend on the number of eligible entrants who log in each day and the time at which the first 100 eligible entrants log in to “Volvo at CONEXPO Live 2023” (the “Event”).
Eligibility.  The Sweepstakes is open only to legal residents of, and physically located within, the United States and the District of Columbia (excluding New York and Florida) or Canada (excluding the Province of Quebec), who are at least eighteen (18) years of age (or the applicable age of majority if greater) as of the date of entry. All directors, officers and employees of Sponsor, and its parent companies, subsidiaries, affiliates, sales representatives, distributors, licensees, agents, advertising and Sweepstakes agencies, and each of their immediate family members (spouses, parents, children, and siblings and their respective spouses), and those living in the same household as each, are not eligible to participate in the Sweepstakes. The Sweepstakes is subject to all applicable federal, state, provincial, and local laws and regulations. Void where prohibited.
Entry Period.  The Sweepstakes entry period begins on March 14, 2023 and ends on March 16, 2023 (the “Entry Period”). Sponsor’s computer shall be the official time-keeping device for the Sweepstakes.
How to Enter.  To enter the Sweepstakes, register for the Event at https://virtual-events.volvoce.com/en-US/brand-events/volvo-at-conexpo-live and during the Entry Period, attend the Event virtually using the link provided. Except as provided in these Official Rules, each of the first 100 eligible entrants to log in to the Event virtually on Tuesday, Wednesday, and Thursday using the provided link will receive one (1) “UberEats Gift Card” (the “Gift Card”). Limit of one (1) Gift Card per person/per email address through the Entry Period. If ineligible entrants are among the first 100 entrants to log in to the Event site on days two and three of the Event, the Gift Cards will be awarded to eligible entrants in the order in which they logged in until all 100 Gift Cards have been awarded. For example, if 10 of the first 100 entrants on day two of the Event are ineligible to receive a prize, the first 90 eligible entrants who log in that day will receive a Gift Card and Gift Cards will be award to the next 10 eligible entrants (or as many eligible entrants that it takes) until all 100 Gift Cards have been awarded.
How to Play. Log in to the Event using the virtual link during the Entry Period. The link will be active 15 minutes before the Event starts each day. The first 100 eligible entrants will receive a Gift Card the following day via email.

How to Redeem a Prize: The first 100 eligible entrants (each a “Winner”) that log in to the Event each day of the Entry Period will receive an email from UberEats the next day notifying them that they have won a Gift Card. Only one (1) Gift Card may be won per Winner during the Sweepstakes Entry Period. Sponsor’s designated representative will provide a list of Winners to UberEats and UberEats will deliver all Gift Cards to the individual Winners via email. Sponsor is not responsible for any late, lost, or undelivered Gift Cards or Gift Cards that are not received for any reason.

In order to be confirmed as a Winner, and without limitation of any other terms herein, each potential winner may be required, upon Sponsor’s reasonable request, to provide satisfactory proof, as determined by Sponsor in its sole discretion, that such potential winner is an eligible entrant, including but not limited to providing a copy of a potential winner’s government-issued identification and/or additional information required by Sponsor in order to verify eligibility and compliance with these Official Rules. Each potential winner may be required to execute and return: an affidavit of eligibility and liability release; (2) and, unless prohibited by law, a publicity release (collectively, the “Prize Claim Documents”). Sponsor may award the prize to an alternate winner by random drawing from among all remaining eligible entries, time permitting. There will be three (3) alternate drawings, one for each of the three days during the Entry Period, after which the applicable remaining prizes will remain awarded.

Upon Sponsor’s verification of a Winner, UberEats will email the Gift Card to each Winner at the respective email address provided during the verification process. Sponsor is not responsible for lost, late, delayed, mutilated, or damaged emailing of any Gift Card.

Additional Terms and Conditions for Prize Awards:

Total ARV of all available prize awards: $7,500. No interest will be paid on any prize. Winners are fully responsible for any and all applicable federal, state, and local taxes. All costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the Winner.

Gift Card is limited to one (1) per Winner and an entrant can only win one (1) time during the Entry Period. All validly claimed prizes will be awarded, subject to approval and verification of eligibility and compliance with the terms of these Official Rules. Any unclaimed prize awards will not be awarded, and will remain property of Sponsor, and will not be re-awarded. No more than the advertised maximum number of prize awards as listed above will be awarded for any reason. If, due to printing, production, programming, seeding, typographical, human, or other errors of any kind, the number of valid prize awards distributed or received at any level exceeds the number of prize awards advertised or intended to be distributed or awarded as stated herein, then Sponsor reserves the right to conduct and award the stated number prizes for such level in a random drawing from among all eligible entrants for each respective day during the Entry Period. Any additional prize award verifications received by Sponsor after a prize has been exhausted for any particular day during the Entry Period will be void. All prize awards are non-transferable, and no cash redemption or prize substitution allowed, except at Sponsor’s sole discretion or as provided herein. Sponsor reserves the right to substitute a prize award of comparable or greater value, at its sole discretion.

Conditions/Use Rights.  By accepting any prize award, each entrant consents to the use of their names, voices, and likenesses, including all accompanying personally identifiable information entrant submits or Sponsor obtains in the course of entrant accepting any prize, via all forms of media now known or hereafter devised worldwide, in perpetuity, without notice, attribution or compensation (other than the specific prizes described herein) to entrant, his/her successors or assigns, or any other entity, except where prohibited by law.
Privacy. By participating in the Sweepstakes, including receiving and/or redeeming any prize award, entrant authorizes Sponsor to collect, use, process, transfer and store all data provided by entrant, including without limitation, personal data, to the United States, or any location(s) throughout the world that Sponsor deems necessary, whether within entrant’s country of residence or elsewhere, and with such party(ies) as Sponsor deems appropriate, for purposes of administration of the Sweepstakes. All information submitted to Sponsor as part of this Sweepstakes will be treated in accordance with Sponsor’s privacy policy, available at https://www.volvogroup.com/en-en/privacy.html. Personal information will be used only to: (a) provide information about the Sweepstakes; (b) contact and publicize potential winners; or (c) if an entrant selects to receive additional information from Sponsor on the entry form, to send additional information to that entrant during or after any Entry Period. Entrants have the right to withdraw and correct their personal data, but entrants are not allowed to re-submit their entries. Directions on procedures for submitting corrections to personal data are provided in the privacy policy of Sponsor.

Release and Limitations on Liability. By participating in all or a portion of the Sweepstakes, entrants agree, to the extent permitted by law, to release and hold harmless all directors, officers and employees of Sponsor and its parent companies, subsidiaries, affiliates, sales representatives, distributors, licensees, agents, advertising, and Sweepstakes agencies (the “Released Parties”) from and against any claims, costs, injuries, losses and damages of any kind (including, without limitation, reasonable attorneys’ and investigation fees, expert and consultant fees, and other litigation costs) (collectively, “Losses”) arising out of or in connection with the Sweepstakes, whether under a theory of contract, tort (including negligence), warranty or other theory, including: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, misdirected, incorrect, garbled, or incompletely received entries; (e) errors in the administration of the Sweepstakes or the processing of entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or acceptance, receipt, use, or misuse of any or prize (including personal injuries, death, or damage to or destruction or property), or travel to any Sweepstakes-related events; and (g) any claims based on publicity rights, copyright/trademark infringement, intellectual property rights, rights of publicity or privacy, or defamation or portrayal in a false light, whether intentional or unintentional. In the event that entrant breaches any of his/her representations, warranties, or undertakings contained herein, Released Parties shall be entitled to and may seek indemnification from entrant for recovery of all legal fees, damages, costs, claims, and other expenses that may be incurred by Released Parties as a result of the aforementioned breach.

Miscellaneous. The decisions of Sponsor are final with respect to all aspects of this Sweepstakes. The Sweepstakes and these Official Rules will be governed, construed and interpreted under the laws of the State of North Carolina without regard to choice of law principles.  Entrants specifically agree that (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the jurisdiction and venue in the state and federal courts located in Guilford County and the Middle District of North Carolina, United States of America, as the exclusive jurisdictions and venues for any and all matters arising out of or pertaining to this Sweepstakes and/or these Official Rules; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. For purposes of these Official Rules, (a) the words “include,” “includes” and “including” shall be deemed to be followed by the words “without limitation”; (b) the word “or” is not exclusive; and (c) the words “herein,” “hereof,” “hereby,” “hereto,” and “hereunder” refer to these Official Rules as a whole. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including fraud, virus, or other technical problems, or any condition caused by events beyond the reasonable control of Sponsor that may cause the Sweepstakes to be disrupted or corrupted, Sponsor may, in its sole discretion, either: (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) award the outstanding prizes from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process, the operation of the Sweepstakes, to be acting in violation of these Official Rules or any applicable laws relating to the Sweepstakes, or in an unsportsmanlike or disruptive manner, and to resolve all disputes in its sole discretion. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
